Responsible business agreement

1. Background

1. This Agreement is intended to supplement any and all contracts and agreements between Rimfrost Holding AS or any of its subsidiaries (the Company) and the Supplier goods or services to the Company (the Supplier).
2. The Parties wish to address in this Agreement how they may work collaboratively to achieve the objectives of Rimfrost’s responsible business policy (Company Policy, see Appendix 1).

2. Supplier responsibility

2.1

The Supplier confirms that it has read the Company Policy, agrees with its statement of requirements, and commits to comply with them.

2.2

The Supplier will complete the Company’s Supplier ESG questionnaire, on request from the Company

2.3

The Supplier will be responsible for performing due diligence according to OECD Due Diligence Guidance for Responsible Business Conduct and to identify any areas of its operations that do not conform to the Company Policy and for implementing and monitoring improvements designed to achieve conformance with the Company Policy.

2.4

The Supplier will promote responsible business conduct in its own operations and in its value chain. The Supplier will inform the Company about any major risks or incidents of relevance, related to human rights, labour rights, corruption or environment in its own operations or value chain.

2.5

Upon request by the Company, the Supplier will submit a report to the Company describing actions taken, and progress made by Supplier to meet the requirements of the Company Policy.

2.6

The Supplier will provide the Company, or its nominated representative, upon reasonable notice, access to Supplier's facilities, work sites, and relevant records insofar as they relate to contracts and purchase agreements with the Company to verify information provided in the Supplier’s report.

3. Company responsibility

The Company agrees that the Supplier report, site access, and records referred to will only be used for the purposes of assessing the Supplier's progress in accordance with the Company’s Policy and will not be disclosed to any third party without Supplier's prior written consent, unless otherwise required by law.

4. Scope of agreement

4.1

This Agreement applies to all existing and future contracts and purchase agreements between the Supplier and the Company.

4.2

This Agreement will remain in force so long as there are any contracts in force. This Agreement will terminate when and if no contract is in force.

4.3

This Agreement does not require either the Company or Supplier to enter into any contract nor to enter into any new or further agreement of any kind.
